• "Platform" means the Teniam website, mobile applications, and related services.
• "User" means any person who accesses or uses the Platform, including both buyers and sellers.
• "Buyer" means a User who purchases products through the Platform.
• "Seller" means a User who lists and sells products through the Platform.
• "Product" means any item listed for sale on the Platform.
• "Order" means a transaction where a Buyer purchases a Product from a Seller.
• "Commission" means the fee charged by Teniam on completed sales.

Eligibility

To use the Platform, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Reside in Australia or be authorized to do business in Australia
• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach.

Teniam operates as a marketplace platform that connects Buyers with Sellers. Important points to understand:

• Independent Sellers: Products are sold by independent third-party sellers, not by Teniam (unless explicitly stated).
• Direct Contracts: When you purchase a Product, you enter into a direct contract with the Seller. Teniam acts as the payment facilitator and platform provider only.
• Listing Accuracy: Sellers are responsible for the accuracy of their listings, including descriptions, pricing, availability, and shipping terms.
• No Warranty: Teniam does not guarantee the quality, safety, or legality of Products listed on the Platform.

Purchases

• All purchases are subject to availability and seller confirmation
• Prices are set by sellers and include GST where applicable
• Shipping costs are calculated based on the seller's location and shipping methods
• Payment is processed at the time of purchase through our secure payment processor

Cancellations

Orders can only be cancelled before the seller processes and ships the item. Contact the seller directly through our messaging system to request a cancellation. Once an order is shipped, standard return policies apply.

Seller Obligations

• Provide accurate, complete, and truthful product descriptions
• Ensure all listings comply with applicable laws and our prohibited items policy
• Ship orders within the timeframe specified in the listing or agreed with the buyer
• Respond to buyer inquiries in a timely and professional manner
• Maintain adequate inventory and promptly update stock levels
• Package items securely to prevent damage during shipping

Fees

Sellers pay a commission on each completed sale. The current commission rate is displayed in the seller dashboard and may be subject to change with notice. There are no listing fees or monthly subscription fees unless otherwise agreed.

The following are prohibited on the Platform:

• Illegal goods, counterfeit products, or items that infringe intellectual property rights
• Weapons, ammunition, or dangerous goods (unless legally authorized)
• Drugs, drug paraphernalia, or controlled substances
• Hazardous materials or dangerous chemicals
• Adult content or sexually explicit materials
• Stolen goods or items obtained through illegal means
• Personal information or data of third parties
• Services rather than physical products (unless part of a product package)
• Items that promote hate speech, discrimination, or illegal activities

Our return policy is designed to protect both buyers and sellers:

• Buyers may request returns within 14 days of delivery for eligible items
• Items must be in original condition with all packaging and accessories
• Custom or personalized items may not be eligible for return
• Return shipping costs are typically the buyer's responsibility unless the item is defective or not as described
• Refunds are processed to the original payment method within 3-5 business days after the seller receives the returned item

The Platform and its content are protected by intellectual property laws:

• All Platform content, including logos, trademarks, and software, is owned by Teniam or licensed to us
• Users may not copy, modify, distribute, or create derivative works from Platform content without permission
• Sellers retain ownership of their product images and descriptions but grant us a license to display them on the Platform
• Users may not use the Platform to infringe the intellectual property rights of others

To the maximum extent permitted by law:

• Teniam is not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims arising from the Platform is limited to the amount paid by you to Teniam in the 12 months preceding the claim
• We are not responsible for disputes between buyers and sellers, though we will attempt to facilitate resolution
• We do not guarantee continuous, uninterrupted, or secure access to the Platform

Nothing in these Terms excludes or limits liability that cannot be excluded under Australian consumer law.

We may suspend or terminate your account and access to the Platform if you:

• Violate these Terms or any applicable laws
• Engage in fraudulent or deceptive practices
• Receive multiple complaints from other Users
• Fail to fulfill your obligations as a Seller or Buyer
• Are inactive for an extended period

You may terminate your account at any time by contacting us. Outstanding obligations must be fulfilled before account closure.

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from these Terms or your use of the Platform will be subject to the exclusive jurisdiction of the courts of New South Wales.

We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. Your continued use of the Platform after changes constitutes acceptance of the updated Terms. Significant changes will be communicated via email or platform notification.
